Terms of Service

These Terms of Service ("Terms") govern your access to and use of the maiLane platform and any related services (the "Services") offered by maiLane, Inc. ("maiLane", "we"). By signing up for, accessing, or using the Services, you agree to be bound by these Terms.

1. Accounts and access

To use the Services you must create an account or be granted access by an administrator of your organization. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at security@mailane.net if you suspect unauthorized use.

2. Subscriptions and fees

Paid plans are billed in advance on a monthly or annual cadence. Fees are non-refundable except as required by law or as explicitly stated in an order form. We may change pricing upon 30 days' notice, effective at the start of the next renewal term.

3. Customer content

You retain all rights in the content you submit, store, or transmit through the Services ("Customer Content"). You grant maiLane a limited, worldwide, non-exclusive license to host, process, and transmit Customer Content solely as necessary to provide the Services. We do not use Customer Content to train models or for advertising.

4. Acceptable use

You agree not to use the Services to:

  • Send unsolicited bulk email, phishing messages, or malware.
  • Violate any applicable law or third-party right.
  • Interfere with the integrity, performance, or security of the Services.
  • Reverse engineer, decompile, or attempt to extract source code, except where expressly permitted by law.
  • Build a competing product using the Services or its documentation.

5. Service levels and support

Service availability targets and support response commitments are described on our Pricing and Status pages. Specific commitments to Enterprise customers are governed by the applicable order form.

6. Intellectual property

The Services, including all software, documentation, trademarks, and content (excluding Customer Content), are owned by maiLane or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription, subject to these Terms.

7. Confidentiality

Each party will protect the other party's confidential information using the same degree of care it uses to protect its own confidential information of similar importance, and at least a reasonable degree of care. Customer Content is treated as Customer's confidential information.

8. Privacy and security

Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Addendum. Security practices are described on our Security page.

9. Term and termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your access to the Services will end and we will delete or return Customer Content as described in the Privacy Policy and DPA.

10. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

Each party will defend the other from third-party claims arising from its own breach of these Terms, subject to standard procedural requirements. maiLane will additionally defend Customer against third-party claims that the Services infringe a U.S. patent, copyright, or trademark.

13. Governing law

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Disputes will be resolved exclusively in the state and federal courts located in San Francisco County, California, except where customer law requires another forum.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
